I was going to buy 3Dv3 from an Autodesk distributor here in Calgary, but I
have just met a person that is dissolving his company and will sell me his copy
of 3D studio.
My question is, is this legal?
Can I transfer the registration to my company from his when I buy 3DS? Can I
upgrade to release 4 if I buy this copy of 3DS?

Yes.

Yes, provided it is a valid commercial license.
Buying used Autodesk software is a Buyer Beware situation. To minimize your
risk, call Autodesk Customer Service at 800-538-6401 (or email me) with the 3DS
serial number to verify that it is a resale license and has not previously been
upgraded, stolen, etc. We'll also help you with the Transfer of License
procedure.
Make sure you get the original diskettes, hardware lock, and documentation.
Also, Autodesk depends on its Dealers to provide technical support. Please
balance this against saving a few dollars on the software purchase…
