The following is the text of a press announcement released in Torotno today.

16 July, 1986
For immediate release:
Batteries Included Inc., one of North America's major publishers of consumer
and professional computer software products announced in Toronto today that
it had completed its previously announced merger with ITM Corporation.
ITM is a publicly traded company listed on the Alberta Stock Exchange,
(Symbol: ITM). As a benefit of the merger Batteries Included (BI), becomes a
major operating company within ITM. BI will remain fully autonomous on an
operational basis and its existing management team continues to guide the
destiny of the company.
Alan and Robbie Krofchick, co-founders of BI will assume seats on the board
of directors of ITM Corp. As well, Michael Reichmann, President and Chief
Executive Officer of BI and Lindsay Swartz, Executive Vice President and
Chief Operating Officer have also been appointed as members of the board of
ITM.
Since its founding more than eight years ago, Batteries Included's succesfull
growth as a privately held company has been fueled internally. Now as a major
component of a public company, BI looks forward to significant expansion of
its activities as a dominant software publisher in the world-wide marketplace.
